Alan has practiced law for more than 25 years. He focuses his practice on commercial leasing, real estate development and real estate finance. He has represented both tenants and landlords - including among others, a big-box regional retailer in leasing transactions throughout New England as well as a national REIT landlord in leasing transactions along the Eastern seaboard. Alan has also represented a wide variety of small businesses – both landlords and tenants –in leases of office space, retail out-parcels, spaces within a strip mall or other shopping center, and space within industrial parks.

Alan has also worked with developers in all phases of a project – including due diligence (including environmental review), acquisition, entity organization and joint venture agreements, financing, development and construction disputes, and disposition. Having experience in all phases of a project enhances Alan’s skill in addressing the concerns of Trilogy’s developer clients.

For more than half of his career, Alan also represented national and regional banks, Wall Street investment banks, and national insurance companies originating loans across the United States – including loans as small as several million dollars to credit facilities of several hundreds of millions of dollars. Alan has particularly in-depth experience in both portfolio and CMBS/conduit loan transactions – having exclusively represented conduit lenders for more than seven years. His lending experience encompasses syndicated-agented loan transactions (both secured and unsecured loans), bridge and permanent loans. He has worked with borrowers to properly structure their entities to satisfy lenders’ SPE requirements as well as bankruptcy-remote and non-consolidation concerns. Alan also has a particular interest in ground lease financing and has served on a CLE-eligible panel addressing the topic. Clients of Trilogy Law are able to benefit in their own negotiations with financing institutions because of Alan’s in-depth lending experience.

Finally, Alan spent a substantial portion of his career as a general business lawyer and in that capacity handled projects (i) across industries – including, by way of example, national restaurant franchisees, publishers, contractors, international distributors, furniture retailers, and retail management consultants, and (ii) across legal disciplines – including, by way of example, corporate law (including buy-sell and shareholder voting agreements), litigation (both tort law and commercial law), and employment law. The breadth of his experience enhances Alan’s skills as a real estate practitioner.

Prior to joining Trilogy Law, Alan worked in a variety of legal settings – including with AmLaw 100 international law firms, a large regional firm, and a real estate boutique law firm.

Alan earned a Bachelor of Arts degree (with a major in Biophysics) from the University of Pennsylvania and a Juris Doctorate degree from Boston University School of Law. He is admitted to practice in Massachusetts and Connecticut.
